Welcome to the services provided by Brokerage Freight Connect LLC ("Freight Connect," "we," "us," or "our"). These Terms of Service ("Terms") govern your use of our website at https://myfreightconnect.com, the Freight Connect platform, and all related freight brokerage services. By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, using the Freight Connect platform, or engaging Freight Connect's freight brokerage services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our services. If you are using our services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

2. Services Description

Freight Connect is a licensed freight brokerage that connects shippers with verified carriers across all 50 US states. Through our Freight Connect platform, we provide:

• Full Truckload (FTL) and Less Than Truckload (LTL) freight brokerage services.
• Freight quoting, booking, and shipment management tools.
• Real-time shipment tracking and status updates.
• Carrier matching and verification services.
• Billing, invoicing, and payment processing for freight transactions.

Freight Connect acts as an intermediary between shippers and carriers. We do not own or operate trucks and are not a motor carrier. All transportation services are provided by independent third-party carriers.

3. Account Registration

To access certain features of our services, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information.
• Maintain and promptly update your account information to keep it accurate.
• Maintain the confidentiality of your login credentials and accept responsibility for all activity under your account.
• Notify Freight Connect immediately of any unauthorized access or security breach.

We reserve the right to suspend or terminate accounts that contain inaccurate information or that we reasonably believe are being used in violation of these Terms.

4. User Responsibilities

When using our services, you agree to:

• Use the services only for lawful purposes and in compliance with all applicable laws and regulations.
• Provide accurate and complete shipment information, including weight, dimensions, commodity type, and any hazardous material classifications.
• Not misrepresent freight characteristics, as this may result in additional charges, penalties, or service refusal.
• Not attempt to circumvent, disable, or interfere with the security features of the Freight Connect platform.
• Not use the services to ship prohibited, illegal, or restricted goods.
• Comply with all carrier requirements and loading/unloading procedures.

5. Shipping & Brokerage Terms

Freight Connect arranges transportation services as a licensed freight broker. The following terms apply to all shipments:

• Quotes provided through our platform are estimates and may be subject to adjustment based on actual freight characteristics, accessorial services, or market conditions.
• Freight Connect is not liable for delays caused by weather, natural disasters, carrier equipment failures, government actions, or other circumstances beyond our control.
• Claims for loss or damage to freight must be filed in writing within nine (9) months of the delivery date or expected delivery date, in accordance with the Carmack Amendment.
• Freight must be properly packaged, labeled, and ready for pickup at the agreed-upon time and location.
• Shippers are responsible for ensuring that freight complies with all applicable federal, state, and local transportation regulations.

6. Pricing & Payment

All pricing for freight services is provided through the Freight Connect platform or via direct communication with Freight Connect. Payment terms include:

• Quotes are valid for the time period indicated at the time of quotation.
• Payment is due within the terms specified on your invoice, typically Net 30 days unless otherwise agreed.
• Freight Connect accepts payment via ACH, wire transfer, credit card, and other methods as specified on the platform.
• Late payments may be subject to interest charges of 1.5% per month or the maximum rate permitted by law, whichever is less.
• Additional charges may apply for accessorial services including liftgate, inside delivery, detention, layover, or reclassification.

7. Limitation of Liability

To the maximum extent permitted by law, Freight Connect's total liability for any claim arising from or related to our services shall not exceed the fees paid by you for the specific shipment giving rise to the claim. Freight Connect shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, even if we have been advised of the possibility of such damages.

The Freight Connect platform and related services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Dispute Resolution

In the event of a dispute arising from or relating to these Terms or your use of our services, you agree to first attempt to resolve the matter informally by contacting Freight Connect at sales@myfreightconnect.com. If the dispute cannot be resolved informally within thirty (30) days, either party may pursue binding arbitration administered by the American Arbitration Association in accordance with its commercial arbitration rules. The arbitration shall be conducted in the State of Illinois.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against Freight Connect.

9. Termination

Freight Connect may suspend or terminate your access to our services at any time, with or without cause, and with or without notice. You may terminate your account at any time by contacting us. Upon termination:

• All outstanding balances and fees owed to Freight Connect become immediately due and payable.
• Your right to access and use the Freight Connect platform will cease immediately.
• Provisions of these Terms that by their nature should survive termination will remain in effect, including liability limitations, dispute resolution, and governing law.

10. SMS/Mobile Messaging

By opting into SMS from a web form or other medium, you are agreeing to receive SMS messages from Freight Connect. This includes SMS messages for shipment updates, delivery notifications, customer care, and account notifications.

Message frequency varies. Message and data rates may apply.

SMS consent is not shared with third parties or affiliates for marketing purposes.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law principles. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in the State of Illinois, and you consent to the personal jurisdiction of such courts.
